We, Valvitalia S.p.A., a company with registered office at Via del Lauro, no. 7 – 20121, Milan, Italy, by the means of this letter authorize the company “RBE GROUP COMPANY”, a company organized and existing under the laws of the Republic of Azerbaijan with legal address NARIMANOV DISTRICT, BAKU CITY, AZ1052, AZERBAIJAN (hereinafter referred to as the “RBE”), in relation to marketing and sales of VALVITALIA PRODUCTS, on a non-exclusively basis, to participate in the UMID 2 & BABEK Field Development Project for UBOC. Notwithstanding the above, nothing herein contained shall be deemed to authorize or empower RBE to act as agent, distributor, and more in general, as representative of Valvitalia. It is also hereby understood that RBE shall not have the right nor the authority to assume or create any obligations or responsibility, express or implied, on behalf of or in the name of Valvitalia. This letter shall be valid for 2 (two) years from the effective date set forth above and shall automatically terminate upon the second anniversary of the effective date unless extended by written agreement between the parties to be sent at least 30 (thirty) days before the expiry date. Each party, for any reason whatsoever, may withdraw from this agreement in any moment by providing a 15 (fifteen) day prior written notice to the other party.
